Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Yerly (the “Service”), operated by the Yerly team (“Yerly”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance and eligibility

  • You must be at least 18 years old to use the Service.
  • If you use the Service on behalf of a business or other organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you and that organization.
  • Each of the following constitutes your acceptance of these Terms: creating an account, connecting a Google Business Profile to the Service, starting a subscription, or continuing to use the Service.
  • You agree to comply with these Terms and all applicable laws.

2. Description of the Service

Yerly is a self-service SaaS platform that helps businesses manage their Google Business Profile, including an AI assistant that prepares draft review replies and posts for your approval, content scheduling, profile information management, a review collection link, and performance insights. The Service relies on third-party providers and may change, add, or remove features over time.

3. Accounts and security

  • You are responsible for keeping your account credentials confidential and for all activity under your account.
  • You must provide accurate, current information and keep it up to date.
  • You may not share your account with unauthorized third parties.
  • Notify us promptly at support@yerlyai.com if you suspect any unauthorized use of your account.

4. AI-generated content

Yerly uses AI to produce drafts of replies, posts, and other content. These outputs are suggestions only and may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing, editing, approving, and publishing any content before it goes live on your Google Business Profile or anywhere else. Yerly is not responsible or liable for any content you choose to publish, including its accuracy, legality, or consequences. You must ensure all published content is truthful and compliant with applicable laws and platform policies.

5. Acceptable use

You agree not to use the Service to:

  • generate, post, or manipulate fake, misleading, or incentivized reviews;
  • create or distribute illegal, infringing, defamatory, or deceptive content;
  • attack, disrupt, probe, reverse-engineer, or circumvent the Service or its security;
  • access other users’ accounts or data without authorization;
  • send spam, phishing, malware, or engage in any other abusive activity;
  • use the Service in any way that violates applicable law or the rights of others.

6. Google connection, authorization, and third-party services

The Service connects to your Google Business Profile through Zernio, our authorized integration provider, using Google’s official authorization flow (OAuth). Yerly never receives or stores your Google password. By connecting your Google Business Profile, you expressly authorize Yerly and Zernio to access, read, and manage that profile on your behalf, including publishing the review replies, posts, business information, and other changes that you approve in the Service or that are generated under automation settings you have enabled. You can revoke this authorization at any time by disconnecting the profile in the Service or from your Google account settings.

The Service also relies on other third-party providers (including OpenAI for AI text generation; see the full subprocessor list in our Privacy Policy). Your use of those services through Yerly is also subject to their terms. You are responsible for complying with all applicable Google Business Profile policies and guidelines. Yerly is not responsible for the availability, accuracy, changes, restrictions, or outages of any third-party service, including any suspension or limitation of your Google Business Profile by Google.

7. No guarantee of results

Yerly provides tools to help you manage and improve your online presence, but we do not guarantee any specific rankings, search visibility, traffic, leads, revenue, or other results. Outcomes depend on many factors outside our control, including third-party algorithms and your own actions.

8. Subscription, billing, and merchant of record

The Service is offered on a single plan at $24.99 per month, before taxes. Payments are processed by LemonSqueezy, which acts as the merchant of record (seller of record) for your purchase. This means LemonSqueezy — not Yerly — is the seller for payment purposes and is responsible for payment processing, sales tax/VAT collection and remittance, invoicing, and chargebacks. Your purchase is also subject to LemonSqueezy’s terms.

  • Subscriptions renew automatically each month until you cancel.
  • You can cancel at any time; your access continues until the end of the current billing period.
  • Prices are stated exclusive of taxes, which may be added by LemonSqueezy based on your location.

9. Refunds

We offer a 7-day money-back guarantee, and EU/UK consumers retain their statutory rights. Refunds are processed through LemonSqueezy as merchant of record. Please see our Refund Policy for full details and how to request a refund.

10. Intellectual property

Yerly and all related software, design, and content (excluding your data) are owned by us and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active.

You retain all rights to your business data and content. You grant Yerly a worldwide, royalty-free license to host, process, and use your data solely to provide and improve the Service. This license ends when you delete the relevant data or your account, subject to the retention periods in our Privacy Policy.

11. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the maximum extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. Nothing in this section limits any warranty or right that cannot be excluded under applicable mandatory consumer law.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • Yerly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Service.
  • Yerly’s total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the fees you actually paid to use the Service in the three (3) months immediately before the event giving rise to the claim, or (b) USD 100.

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including mandatory consumer protections.

13. Indemnification

You agree to defend, indemnify, and hold harmless Yerly from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, the content you publish, your violation of these Terms or applicable law, or your infringement of any third party’s rights.

14. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or use the Service in a way that harms others or the Service. Where reasonable and lawful, we will give you notice. Provisions that by their nature should survive termination (including sections 10–13) will survive.

15. Changes to these Terms

We may update these Terms from time to time. For material changes, we will notify you by email or within the application. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Force majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages or restrictions of third-party providers, internet failures, acts of government, natural disasters, or other force-majeure events.

17. Governing law and disputes

These Terms are governed by the laws of the Republic of Turkey, and the courts of Antalya, Turkey have exclusive jurisdiction over any dispute, without regard to conflict-of-law rules. If you are a consumer in the EU or UK, you keep the benefit of any mandatory consumer-protection rights and the jurisdiction of the courts of your country of residence that cannot be waived under the law applicable to you.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19. Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Yerly regarding the Service and supersede any prior agreements on the subject.
